1. Introduction

Purpose of the Terms: These Terms and Conditions (“Terms”) govern the use of the services provided by Pedaly AB with company registration number 559243–7999, a private limited company registered in Sweden (hereafter referred to as "Pedaly", "we", "our" or "us"). By accessing or using Pedaly’s services, the user (hereafter referred to as the “User”, “you”) agrees to be bound by these Terms.

Scope of Services: Pedaly provides access-based parking solutions primarily in Sweden. The Services include temporary and secure Stations for Private vehicles. Access is enabled through digital systems and physical infrastructure, including but not limited to the Pedaly App, QR-code readers, and RFID/NFC-based access technologies.

Acceptance of Terms: By downloading the Pedaly App, creating an account, or otherwise accessing or using Pedaly’s Infrastructure, the User confirms that they have read, understood, and accepted these Terms. If the User does not agree to these Terms, they may not use Pedaly’s services.

2. Definitions

Services: refers to the access-based parking solutions provided by Pedaly, including secure parking Stations for Private vehicles. The Services also include the digital and physical systems that enable access, such as the Pedaly App (including any accompanying features in the Pedaly App), QR-code readers, and RFID/NFC-based technologies.

User: refers to any individual who downloads the Pedaly App, creates an account, or otherwise accesses or uses the Services.

Pedaly App: refers to the mobile application developed and operated by Pedaly, which provides access to the Services and their functionalities.

Infrastructure: refers to Pedaly’s Stations and associated systems used to deliver the Services, including but not limited to locks, gates, electronic interfaces, and associated technologies.

Station: refers to a designated and secure parking facility provided by Pedaly, where Users can temporarily store their Private vehicles. A Station is accessible only through Pedaly’s digital and/or physical access systems, such as the Pedaly App, QR-code readers, or RFID/NFC-based technologies.

Private vehicle: refers to a User-owned or User-operated bicycle or scooter intended for individual use, that can be parked in a Station in accordance with these Terms.

3. Access and Registration

To use the Services, Users may need to:

  • Register and create an account in the Pedaly App. When registering, the User must provide accurate, current, and complete information, and must update such information if it changes.

  • Accept these Terms and read our Privacy Policy.

  • Access the Infrastructure using the Pedaly App, RFID/NFC card, QR code, or any other methods approved by Pedaly. The User must follow the instructions provided by Pedaly when using these access methods.

Security of Account Credentials: The User is solely responsible for maintaining the confidentiality of their login details and any other account credentials. The User is liable for all activities carried out under their account, whether performed by the User or by a third party, unless otherwise required by mandatory law.

Personal Account: The User’s account is personal and may not be transferred, licensed, or shared with any third party.

4. Scope of Service

Nature of the Services: The Services provided by Pedaly consist of access-based parking solutions designed for Private vehicles.

Core Functionalities: Through the Pedaly App and the Infrastructure, the User may locate available parking spaces within Stations, lock and unlock designated parking units using authorized methods, and temporarily park their Private vehicle, subject to availability as further regulated in Section 5 (Use of the Service).

5. Use of the Service

Technical Requirements: To access and use the Services, the User must ensure that the mobile device on which the Pedaly App is installed has an active internet connection via mobile data and that Bluetooth functionality is enabled. The Pedaly App also requires access to that device’s GPS location at the beginning and end of each parking session. Without such permissions, the Services cannot function as intended.

User’s Costs: The Pedaly App is free to download and install. However, the User is responsible for all costs related to the use of the Pedaly App, including but not limited to charges for mobile data and internet connectivity.

Permitted Use: The Services may only be used for their intended purpose, namely the temporary and secure parking of Private vehicles. The User must park and secure their Private vehicle responsibly within designated spaces, in accordance with the instructions provided in the Pedaly App, on-site signage, or at the relevant Station. The User must also comply with applicable local laws and regulations. Only Private vehicles that are compatible in size and type with Pedaly’s Infrastructure may be parked.

Prohibited Use: The User must not use the Infrastructure for storing any items other than Private vehicles, nor may the User tamper with, damage, or otherwise improperly interfere with Pedaly’s systems. It is strictly forbidden to share account credentials or access rights with unauthorized persons. For the avoidance of doubt, any attempt to reserve, block, or otherwise occupy a Station without an active parking session is prohibited.

Conduct Towards Others: The User must avoid obstructing or blocking access, and must not cause inconvenience, harm, or damage to other Users or to any property when using the Services or the Infrastructure.

Parking Session and Duration: A parking session begins when the User confirms the start of parking through the Pedaly App or another approved access method, and ends only when the User confirms the end of parking through the same method. The Services are intended for temporary parking only. The maximum parking time in a Pedaly Station is twelve (12) hours, unless otherwise stated in the Pedaly App. When the parking session is over, the User is obliged to end the session in the Pedaly App, pay any applicable fees, and immediately remove the Private vehicle from the Station to make the space available for other Users. Failure to remove the Private vehicle may result in it being considered abandoned in accordance with the rules below.

Abandoned Vehicles: If a Private vehicle is parked in a Station in violation of these Terms and remains for more than three (3) consecutive days, it will be considered abandoned. Pedaly reserves the right to remove and dispose of such Private vehicles without any obligation to store them or compensate the User.

6. Availability

Reasonable Availability Efforts: Pedaly endeavours to maintain reasonable levels of availability of the Services and Infrastructure and to ensure that Users can access and use the Services as intended.

No Guarantee of Availability: Pedaly does not guarantee that Stations or parking spaces will be available at a specific time. Availability may vary depending on demand, technical issues, maintenance, or third-party involvement.

Reporting Issues: The User is encouraged to promptly report any damages, malfunctions, security issues, or unauthorized use of the Infrastructure to Pedaly through the channels provided for customer support.

Service Interruptions: The Services may occasionally be subject to temporary interruptions due to maintenance, updates, or repairs. Delays or interruptions may also occur as a result of circumstances beyond Pedaly’s control, including but not limited to force majeure events, vandalism, or disruptions caused by external systems or services.

7. Fees and Payments

General Rule and Exceptions: The Services are normally free of charge, and Users may access and use them without any payment obligation. In limited cases, specific Stations or related services may require payment. Such exceptions will always be clearly displayed in the Pedaly App before the User initiates a paid parking session, and the total price including any fees or surcharges will be shown prior to confirmation.

Payment Obligation and Processing: By confirming a paid parking session, the User agrees to pay the applicable fees. Payments are processed through Pedaly’s appointed third-party providers, and a payment is considered completed once it has been received by Pedaly or its provider.

Payment Methods: Accepted methods of payment are specified in the Pedaly App. Pedaly reserves the right to adjust available payment methods or providers at any time.

8. Right of Withdrawal and Refunds

Scope: This Section applies only to paid Services as described in Section 7.

Right of Withdrawal: Under the Swedish Distance and Off-Premises Contracts Act (SFS 2005:59), consumers normally have a statutory right to withdraw from a service agreement within 14 days. However, by initiating a paid parking session in the Pedaly App, the User expressly requests that the Service be provided immediately and acknowledges that the statutory right of withdrawal will no longer apply once the Service has been fully performed. The User therefore has no right of withdrawal once a paid parking session has begun.

Refund Policy: Fees for paid Services are non-refundable, except where (i) required by mandatory consumer protection law, or (ii) technical problems prevent or unreasonably delay delivery. In such cases, Pedaly will review the matter upon the User’s notification and, if justified, refund the amount without undue delay.

9. Responsibility and Limitations

Pedaly’s Responsibilities: Pedaly is responsible for providing functioning Infrastructure and fulfilling its other obligations pursuant to mandatory applicable law.

User’s Responsibilities: The User must treat Pedaly’s Infrastructure, as well as third-party facilities connected to the Services, with due care and respect. The User is liable for any damages caused by intentional or negligent conduct. The User is solely responsible for their own Private vehicle and personal belongings when using the Services. Pedaly does not provide storage, supervision, or insurance. The User must take appropriate measures to protect their property and is recommended to maintain adequate insurance coverage. The User acknowledges that use of the Services is at their own risk.

Exclusions of Liability: Pedaly is not responsible for theft, loss, or damage to Private vehicles or belongings arising from or in connection with the use of the Services, for improper use of the Infrastructure by the User or by third parties, or for any indirect or consequential damages, including but not limited to loss of income or business opportunities. Pedaly’s liability is in all cases limited to the extent permitted under applicable mandatory law. Nothing in this Section limits Pedaly’s liability where such liability cannot be excluded or limited under applicable law, including liability for death or personal injury, or for loss or damage caused by Pedaly’s intent or gross negligence.

10. Processing of Personal Data 

Privacy Policy: Pedaly processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”). By creating an account in the Pedaly App or using the Services, the User acknowledges Pedaly’s processing of their personal data as described in the Privacy Policy, which provides details on the processing of personal data and the User’s rights under GDPR.

11. Modifications to the Terms

Pedaly may modify these Terms at any time. Changes will be published via the Pedaly App, website, or other communication channels. Continued use of the service following such updates constitutes acceptance of the revised Terms. If the User does not accept the updated Terms, the User is required to stop using the Services and delete their account.

12. Termination 

User’s Termination: The User may terminate their User account at any time via the deletion function in the Pedaly App.

Pedaly’s Right to Terminate: Pedaly may terminate a User’s account or access to the Services in the event of breach of these Terms, misuse of the Services, violation of applicable laws or regulations, or actions that may harm the Infrastructure, reputation, or safety of Pedaly or other Users. Pedaly may, without prior notice, immediately terminate the User’s access to the Services.

Effect of Termination: Upon termination, the User immediately loses the right to access the Services. Termination does not affect any rights or obligations already accrued, including Pedaly’s right to payment for any paid Services used.

13. Assignment 

Right to Transfer: Pedaly reserves the right to assign or transfer its rights and obligations under these Terms, including the operation of the Services and the associated user database, to another entity in the event of a merger, acquisition, or similar corporate transaction. Users will be informed of such transfer in accordance with applicable law.

14. Governing Law

Applicable Law: These Terms shall be governed by and interpreted in accordance with the laws of Sweden, without regard to conflict-of-law rules.

Jurisdiction: Any dispute, controversy, or claim arising out of or in connection with these Terms, the Services, or the Infrastructure shall be subject to the jurisdiction of the Swedish courts, unless otherwise required by applicable mandatory law.

Consumer Protection and Complaints: These Terms do not limit the rights of consumers under mandatory consumer protection legislation. A consumer who is dissatisfied with Pedaly’s handling of a complaint may refer the matter to the National Board for Consumer Disputes (Allmänna reklamationsnämnden, ARN) in Sweden.
